Choosing a business structure in India: the decision behind the registration

The entity you register decides your tax rate, your compliance load and whether an investor can put money in at all.

Structure decisions are usually presented as a comparison table. In practice, four questions determine the answer for most businesses.

  • Will you raise external equity, and when?
  • How many owners are there, and how will profit be shared?
  • What compliance cost can the business absorb at current scale?
  • How much personal liability exposure is acceptable?

What each structure suits

A private limited company is the standard choice where external equity, ESOPs or institutional customers are expected — it carries the highest compliance load, but it is the structure investors can actually invest in.

An LLP suits closely-held or professional ventures with no equity-raising plans: liability is limited, compliance is lighter, and profit sharing is flexible.

A registered partnership or proprietorship remains viable for small, owner-run operations, but neither limits personal liability, and both become constraints as soon as external capital or larger contracts appear.

The cost of changing later

Conversions are possible, but they consume time at exactly the moment you need speed — usually mid-fundraise or mid-contract. Where the plan clearly involves outside capital, registering the appropriate structure at the start is usually cheaper than converting later.

What has to follow registration

Registration is the beginning of the obligation, not the end of the task. Statutory registers, tax registrations, banking, a filing calendar and — where there is more than one owner — a written agreement on roles, equity and exit, all belong in the first month.
